1. Agreement to Terms

By accessing American Marketing Alliance SPC's ("AMA") website, services, and AI tools, you agree to these Terms and our Privacy Policy. If you do not agree, you are prohibited from using the Services.

2. Membership & Billing

  • Tiers: We offer various membership tiers (e.g., Member-Self Service, IMaaS). Access to features like the "RFP Assistant" or "Vendor Match" depends on your tier.
  • Payment: Membership fees are due at registration and upon renewal. You authorize us to charge your designated payment method.
  • Cancellation: You may cancel your membership at any time. Cancellations must be submitted in writing or via the account portal. Refunds are issued at our sole discretion.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials.

3. Use of AI Tools & Assistants

Our platform includes AI agents (e.g., RFP Assistant, Buyers Agent). By using them:

  • Informational Only: AI recommendations are for information purposes only and do not constitute professional advice.
  • Human Review Required: AI can make errors ("hallucinations"). You agree to review all AI-generated RFPs, contracts, and content before use.
  • No Liability: AMA is not responsible for actions taken based on AI output.

4. The RFP System & Marketplaces

  • Accuracy: You warrant that information provided in your RFPs or Ad Listings is accurate and truthful.
  • No Guarantee: AMA does not guarantee responses to your RFPs or specific results from advertising.
  • Facilitator Role: AMA is not a party to contracts formed between members (e.g., between a Buyer and a Vendor).

5. Investor Relations & Forward-Looking Statements

  • No Solicitation: Materials in the "Investor" section are for informational purposes only and do not constitute an offer to sell securities.
  • Accreditation: Access to the Data Room is strictly limited to accredited investors.

6. Intellectual Property

The "Hyper-Local Intelligence Layer," including our proprietary taxonomies and scores, is owned by AMA. You grant AMA a license to use your Member Content (e.g., logos, event details) to provide the Services and facilitate network cross-promotion.

7. Limitation of Liability

To the maximum extent permitted by law, AMA shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data) arising from your use of the Services.
