Terms of Service

These Network-Wide Umbrella Terms of Service ("Terms") govern your access to and use of the websites, rails, applications, and services operated by American Marketing Alliance SPC ("AMA," "AMA SPC," "we," or "us"), explicitly including our 3-site community sponsorship pilot—amaspc.com (SPC Trust & Governance Layer), localnonprofits.ai (Nonprofit Seller Intake & Offer Packaging Rail), and localsponsorships.ai (Verified Sponsor Discovery & Routed Inquiry Marketplace Rail)—as well as affiliated AMA Network properties including localeventplanner.ai, funlist.ai, businesscalendar.ai, localmarketingtool.ai, marketingco-op.ai, and thurstonai.com (collectively, the "Services").

By accessing or using any of our Services, submitting nonprofit intake materials, or routing a sponsorship inquiry, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

AMA is incorporated as a Social Purpose Corporation under Washington State law (RCW 23B.25). Our corporate governance permanently ties platform operations to measurable community benefit:

• Community impact and local economic resilience are weighed in every material platform decision.
• Public community data and verified sponsorship ecosystems are stewarded under strict Human-in-the-Loop (HITL) guardrails.
• Our Social Purpose Corporation charter is embedded in our articles of incorporation.

Organizations and individuals submitting intake materials or creating sponsorship packages on localnonprofits.ai ("Nonprofit Sellers") agree to the following terms:

• Authority to Represent the Nonprofit: You represent and warrant that you are an authorized officer, employee, board member, or designated agent with legal authority to act on behalf of the named nonprofit, school, or community organization.
• Accuracy of Tax-Exempt Status & Deliverables: You warrant that all submitted organization details—including IRS 501(c)(3) or civic tax-exempt status, Employer Identification Number (EIN), event dates, audience reach estimates, and sponsorship tier deliverables—are truthful, accurate, and not misleading.
• Explicit Human-in-the-Loop (HITL) Sign-Off Requirement: AI-assisted package generation on localnonprofits.ai produces structured drafts for your convenience. No sponsorship package or organization profile will be published to the live localsponsorships.ai marketplace without explicit human review and approval sign-off by the submitting organization and AMA SPC verification review.
• Fulfillment Responsibility: The Nonprofit Seller is solely responsible for fulfilling promised sponsorship recognition, event benefits, and tax-deductibility documentation directly to sponsors.

Businesses, agencies, sponsors, and visitors browsing packages or submitting inquiries on localsponsorships.ai or localnonprofits.ai ("Sponsor Buyers") agree to the following terms:

• Good-Faith Sponsor Inquiries: All inquiries submitted through localsponsorships.ai must reflect authentic, good-faith interest in sponsoring or partnering with the selected community organization(s) and must include accurate buyer identity and contact details.
• Prohibition on Scraping, Harvesting & Spamming Nonprofit Contacts: You may not scrape, crawl, harvest, or extract nonprofit organization profiles, intake forms, or representative contact information from localnonprofits.ai or localsponsorships.ai for unsolicited commercial sales pitches, cold outreach, lead resale, or automated spam.
• Role of AMA SPC as Facilitation & Governance Rail: AMA SPC provides the technology discovery rail, AI-assisted packaging workflow, and inquiry routing infrastructure. Unless explicitly stated in a separate written agreement signed by AMA SPC, AMA SPC is not a party to any final sponsorship contract between a Sponsor Buyer and a Nonprofit Seller, does not guarantee sponsor payment or nonprofit event execution, and disclaims liability for bilateral disputes arising between participating organizations and sponsors.

You may use our Services to:

• Submit and structure verified nonprofit sponsorship packages on localnonprofits.ai
• Discover, compare, and inquire about local sponsorship opportunities on localsponsorships.ai
• Review corporate governance, SPC impact commitments, and AI standards on amaspc.com
• Participate in broader AMA Network community tools in accordance with these Terms

You agree not to:

• Use the Services for any unlawful or deceptive purpose
• Scrape, crawl, or harvest data or train AI models without authorization (see our AI Access Policy and AI Data License)
• Impersonate any nonprofit organization, civic entity, or business sponsor
• Interfere with the security, rate limits, or operation of the AMA Hub API or frontend spokes

The Services, including all software, design systems, AI workflows, and compilation of marketplace listings, are owned by American Marketing Alliance SPC and protected by copyright, trademark, and other intellectual property laws. Proprietary marks including Community AI Gateway™, ConnectScore, and Funalytics Score™ are trademarks of AMA SPC.

Organization & User Content: Participating nonprofits and sponsors retain ownership of their respective names, logos, and submitted materials. By approving a package or profile for publication, you grant AMA SPC a non-exclusive, worldwide, royalty-free license to host, format, display, distribute, and index that approved content across the AMA Network (including amaspc.com, localnonprofits.ai, and localsponsorships.ai).

Our Services use AI to assist with sponsorship offer structuring, tier recommendations, discovery summaries, and analytics. You acknowledge that:

• AI-generated drafts are assistive tools and require human review before publication or contractual reliance.
• AMA SPC does not provide legal, tax, or accounting advice regarding IRS 501(c)(3) deductibility or charitable solicitation compliance.
• Participating organizations and sponsors are responsible for verifying all package terms prior to executing a sponsorship agreement.

To the maximum extent permitted by law, AMA SPC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Services, or from any sponsorship negotiation or agreement entered into between a Nonprofit Seller and a Sponsor Buyer.

Our total aggregate liability for any claim arising out of these Terms or the Services shall not exceed the greater of one hundred dollars ($100 USD) or the amounts you paid directly to AMA SPC for use of the Services in the twelve (12) months preceding the claim.

We may update these Umbrella Terms from time to time. Material updates will be posted at https://amaspc.com/terms with an updated revision date. Continued use of amaspc.com, localnonprofits.ai, localsponsorships.ai, or affiliated Services constitutes acceptance of the revised Terms.
